Chinese Plus User Service Agreement and Disclaimer The operation right of the Chinese Plus platform and the Chinese Plus application (hereinafter referred to as 'Chinese Plus') shall be owned by the Center for Language Education and Cooperation (hereinafter referred to as the 'Center'). The Center agrees to provide Internet-based services following the Chinese Plus User Service Agreement and Disclaimer (hereinafter referred to as the 'Agreement') and the operating rules issued from time to time. To use Chinese Plus, you should read and abide by the Agreement. Please be sure to read carefully and fully understand the terms, particularly on liability exemption or limitation. All bolded fonts are our highlights. If you are under the age of 18 or do not have the full civil capacity, please read the Agreement with the assistance of your legal guardians, and pay special attention to the terms for minors' use. Otherwise, the Center and Chinese Plus shall not be liable for any adverse consequences to you arising from such subsequent registration and use of the Services and reserve the right to terminate the service agreement between both parties after knowing such circumstances. Unless the User has acknowledged the Agreement, the User is not permitted to use the Services hereunder. The User's use of the Agreement constitutes unconditional acceptance of its terms, including any modifications made by the Center. 1. Confirmation and Acceptance of the Agreement The operation right of the network services of Chinese Plus (hereinafter referred to as the 'Services') shall be owned by the Center. Chinese Plus shall provide the Services following the Agreement and the operating rules issued periodically. Additionally, when a Service user (hereinafter referred to as the 'User') utilizes various classified services offered by Chinese Plus, the User agrees to the entirety of the Agreement and abides by all applicable rules and policies governing the Services. This includes but is not limited to the General Member Service Agreement for chineseplus.net and other applicable service and use agreements offered by Chinese Plus. To become an official User of Chinese Plus, the User must fully agree to all terms of the Agreement and complete the registration procedure. All the preceding rules and points form part of the Agreement. Special confirmation and acceptance: Chinese Plus integrates Umeng + SDK (UShare) to provide the user with one-click sharing services. It collects the User's equipment identification information (IMEI/android ID/IDFA, etc.) and the social networking accounts to be shared by the User to complete the one-click sharing services. To protect the User's information security, the Center has signed data security and confidentiality agreements with third-party SDK service providers, which will strictly abide by the data privacy and security requirements of Chinese Plus. Chinese Plus will not share personal identification information about the User with these companies without the User's consent. To facilitate the User to understand better the types and purposes of the data collected by [Umeng +] and how to protect the User's personal information, the User can visit http://www.umeng.com/policy to learn about [Umeng +] privacy policy. 2. Products and Services of Chinese Plus Chinese Plus is a platform that allows users to share information, works, and educational and training materials. The content on the website (includes but is not limited to: text, pictures, images, audio, and video) is uploaded by Users or collected from the Internet. Copyrights thereof are owned by authors thereof. This website is only for users' convenience to download and collect content, and downloaded files are not mirrored in the space of this website. Chinese Plus does not have the sufficient capacity to monitor illegal reproduction and piracy as a network service provider. However, when a copyright owner lodges an allegation of infringement and produces sufficient copyright supporting information, Chinese Plus shall be obliged to remove the pirated and illegally reproduced works and stop further distributing the same. Authors who publish content on Chinese Plus shall be deemed to have agreed to the Agreement and other relevant service and user agreements of Chinese Plus when they are registered as Users of this website. The Center and Chinese Plus are not liable for any such infringements committed on this website. The User shall bear the legal liability for such infringements. After taking corresponding measures such as removal, subject to the satisfaction of the conditions in the preceding paragraph, the Center and Chinese Plus do not bear the liability for breach of contract or other legal liability to the original publishers, including the liability for damages caused to the original publishers due to untenable infringement charges. 3. Description of the Services Chinese Plus only provides the User with relevant information storage space services. The User must have the necessary equipment to access the Internet (such as a personal computer, mobile phone, modem, or any other Internet access device) and pay necessary expenses (such as telephone expenses, network expenses, and mobile phone expenses paid to access the Internet in connection with the Services). Given the importance of the Services provided by Chinese Plus, the User shall agree to the following: (1) provide detailed and accurate personal information; (2) keep updating registration information to meet requirements for timeliness, elaboration, and accuracy; (3) if, to the best of the knowledge of Chinese Plus, the User provides any material that is incorrect, untrue, out-of-date or incomplete; or if Chinese Plus has reasonable grounds to suspect that any of the preceding information is incorrect, untrue, out-of-date or incomplete, Chinese Plus reserves the right to suspend or terminate the User's account and to refuse current or future use of the Services in whole or in part. 4. Change, Interruption, or Termination of the Services Given the particularity of the Services, Chinese Plus reserves the right to change, interrupt or terminate the Services completely or partially at any time, without being liable to the User or any third party. For the regular operation of Chinese Plus, Chinese Plus reserves the right to regularly or irregularly overhaul or maintain the platforms (such as Internet websites and mobile networks) or related equipment used for providing the Services. The foregoing actions will cause Service interruption. Chinese Plus will try its best to avoid or limit the duration of Service interruption to the shortest possible time. Chinese Plus shall not be liable for the interruption of the Services with reasonable duration. Under any of the following circumstances, Chinese Plus reserves the right to interrupt or terminate the provision of the Services (including paid Services) to the User at any time without bearing any liability to the User or any third party: (1) the information provided by the User is untrue; (2) the User violates the relevant provisions of the Agreement; (3) the User fails to pay the corresponding service fees to Chinese Plus following the provisions when using paid Services. 5. Online Registration The User must provide accurate personal information to Chinese Plus when applying for access to the Services of Chinese Plus. Any changes to the personal information must be promptly updated. Once the User is successfully registered and becomes a legal User of Chinese Plus, they will be provided with a password (set and kept by the User) and a username. Each User shall be solely responsible for all activities and events conducted under their username. The User acknowledges that the User shall have the capacity for civil conduct prescribed in the People's Republic of China laws to ensure that the User can independently bear liability for all the User's use of the products and Services of Chinese Plus. If the User lacks the qualifications mentioned above or is a minor under the age of 18, the User must be accompanied by their guardians when reading the Agreement and using the Services of Chinese Plus after obtaining their consent to the User's use of the Services and the Agreement; the Center reserves the right to seek compensation from the User's guardians when the User is required to bear liability under the law or the Agreement. The User with this agrees to accept that Chinese Plus may send promotional or other relevant commercial information to the User by e-mail or otherwise. Under the premise of not revealing individual Users' private information, Chinese Plus reserves the right to analyze the entire User database and make commercial use of the User database. 6. Username, User Password, and Security The User will be solely responsible for the username and password security. The User may change the User's password at any time as prompted. The User agrees not to transfer or lend their account or password to anybody else. If the User discovers that others have illegally used their account or that there is a security breach, they shall immediately notify Chinese Plus. The Center and Chinese Plus are not liable for any illegal use of account or password by others due to hacking or custody negligence of the User. The User shall be fully responsible for all activities carried out with such password and account; the Center and Chinese Plus cannot and do not bear any liability for any loss or damage arising therefrom. If the account for free Services registered by the User is not used within 180 consecutive days, or the account for paid Services registered by the User is not used within 180 consecutive days upon expiration of the Service period of the paid Services subscribed to by the User, Chinese Plus reserves the right to remove the account and stop providing the relevant Services for the User. 7. Privacy System for the User Respecting User privacy is a fundamental policy of Chinese Plus. Chinese Plus will collect, store, use, disclose, and protect the User's personal information strictly with relevant laws and regulations, including the EU General Data Protection Regulation, which came into force on May 25, 2018. If the User is a minor under 18, the User is requested to notify their guardians to read and confirm the Agreement jointly. The User must seek the consent and guidance of their guardians before using the Services or submitting personal information. We will apply to the User for the following permissions during the User's use, and the User will be asked in advance before our access. If the User refuses, some functions will not work normally: (1) description of functions requiring recording permission: scenes and purposes of audio recording using a microphone: to help you complete the audio and video information release, live streaming, search (if any) and other related functions that require such permission (2) description of functions requiring photographing and video permission: scenes and purposes of photographing, video recording and QR codes scanning: to help you shoot and publish audio and video, conduct live streaming, complete QR codes scanning and other related functions that require such permission. Subject to the User's compliance with related requirements of the Agreement, Chinese Plus will fully protect the personal privacy to which the User is entitled. Except for the following reasons, without the authorization of the User, Chinese Plus will not edit or disclose their personal registration information: (1) as required by relevant laws and regulations; (2) as required by the relevant governmental authorities; (3) maintain the safety of individuals or the public; (4) the need for maintaining public interests; (5) safeguard the legitimate rights and interests of this website; and (6) comply with other relevant requirements. 8. Management of Information Released by the User The User shall abide by the Law of the People's Republic of China on Protecting State Secrets, the Regulations of the People's Republic of China for Safety Protection of Computer Information Systems, the Regulations on Computer Software Protection and other relevant laws, regulations and implementing measures concerning computer and the Internet. If Chinese Plus reasonably believes that the User's actions may violate the laws and regulations mentioned above, Chinese Plus may terminate the provision of the Services to the User at any time without prior notice. The User shall bear all civil, administrative, or criminal legal liability arising from their release of improper information on Chinese Plus when releasing information. The information release by the User on Chinese Plus shall not contain the following content: (1) damaging the state security, divulging state secrets, overturning state power or destroying national unity; (2) damaging state honor or interests, or attacking the CPC and governments; (3) inciting national hatred or ethnic discrimination, or destroying national unity; (4) damaging friendly relations between countries or regions; (5) violating the traditional virtues of the Chinese nation, social morality, theoretical morality and socialist spiritual civilization; (6) destroying the national religious policy, or advocating any heresy or feudal superstition; (7) spreading any rumor or false information, disturbing social order, or destroying social stability; (8) inciting, organizing or instigating any terrorist activity, illegal assembly, association, parade, demonstration or gathering to disturb social order; (9) spreading any obscene, erotic, gambling, violent or horrific information, or instigating others to commit a crime; (10) insulting or slandering others, or infringing upon the legitimate rights and interests of others; (11) infringing the portrait right, name right, reputation right, privacy right or other personal rights; (12) using abusive, insulting, slanderous, threatening, cursing and other uncivilized language; (13) carrying out actions in the name of illegal non-governmental organizations; and (14) containing other content prohibited by laws and administrative regulations. If the User fails to perform and observe the Agreement when releasing information on Chinese Plus, Chinese Plus reserves the right to delete the information released by the User to maintain the image, reputation, and security of Chinese Plus. For the User who violates the Agreement, we will close their ID to temporarily or permanently ban them from releasing information on Chinese Plus. At the same time, the right to investigate the legal liability of the parties concerned is reserved. The User shall independently bear legal liability for their actions on Chinese Plus. In its sole discretion, Chinese Plus reserves the right to immediately cancel the User's account for the Services if the User's action does not comply with the terms of the Agreement. If the User disseminates and spreads reactionary, pornographic, or other information that violates the law of the State on Chinese Plus, the system records of Chinese Plus may serve as evidence of the User's violation of the law. Chinese Plus does not bear any liability for the deletion or failure to store information released by the User. Chinese Plus reserves the right to determine whether the User's action complies with the provisions of Chinese laws and regulations and the requirements of the Agreement. If the User violates the provisions of Chinese laws and regulations or the Agreement's requirements, Chinese Plus reserves the right to suspend the provision of the Services to them. Any content uploaded to publicly accessible areas of Chinese Plus through the Services provided by Chinese Plus (including but not limited to forums, BBS, news commentaries, blogs, pictures, images, audio, video, and other channels), the User agrees to grant Chinese Plus a perpetual, irrevocable, royalty-free, exclusive, and sub-licensable use right and license worldwide. Chinese Plus may use, reproduce, modify, adapt, publish, translate, create derivative works from, disseminate, perform and display such content in whole or in part, and/or incorporate such content in whole or in part into any other form of works, media or technologies. The User may not reproduce, sell, or use the content uploaded by others for other commercial purposes. 9. Ownership of the Content of the Services The content of the Services as defined by Chinese Plus shall include all content of text, software, sound, pictures, videos, charts, and advertisements, all content of e-mails, and other information provided by Chinese Plus for the User. All such content is protected by laws governing copyrights, trademarks, and/or other property rights. As a result, the User may only use such content with Chinese Plus's and relevant right holders' permission and may not reproduce, publish, reprint, play, adapt, compile, or otherwise use such content for any other commercial purpose without permission. 10. Links The Chinese Plus website contains links to other websites and web pages that the Center does not operate or control. The Center and Chinese Plus assume no responsibility for them. The User shall bear any risk of initiating any such link or web page and leaving the Chinese Plus website to enter other websites or web pages. The Center and Chinese Plus disclaim all responsibility. 11. Disclaimer (1) The Center and Chinese Plus do not represent or warrant the accuracy or reliability of any content, information, or advertisement contained in, through or linked to, downloaded from, or obtained from any Services under the Agreement. Additionally, the Center and Chinese Plus are not liable for any products, information, or materials purchased or obtained by the User through advertisements and displays in the Services under the Agreement. Use of the Services is at the User's own risk. (2) The Center and Chinese Plus reserve the right but are not obligated to improve or correct any omission or error in any part of the Services under the Agreement. (3) The Center and Chinese Plus do not warrant the following (including but not limited to): a. the Services under the Agreement are in line with the use requirements of the User; b. the Services hereunder shall be uninterrupted, timely, secure, reliable or error-free, including hacking, network interruption, telecommunication problems, and other force majeure; c. any products, services or other materials obtained by the User through the Services hereunder meet the User's expectations. (4) The User agrees to use any materials downloaded or acquired from the Services at their own risk, and the User is solely responsible for any damage to the User's computer, mobile phone, or other systems, as well as any loss of materials, resulting from such usage. (5) Chinese Plus is not liable for any direct, indirect, incidental, consequential, or punitive damages for loss of profits, business reputation or materials, or other tangible or intangible losses resulting from: a. the use or inability to use the Services under the Agreement; b. any products, materials or services purchased or obtained through the Services hereunder; c. use or modification of User information without authorization; d. other matters related to the Services hereunder. (6) The User shall use the search directory of Chinese Plus at their discretion when browsing the Internet. The search directory may direct the User to websites deemed offensive or inappropriate. The Center and Chinese Plus cannot view the content of the websites listed in the search directory in a timely and accurate manner. They, therefore, assume no responsibility for the correctness, legality, or legitimacy thereof. (7) The Center and Chinese Plus are not liable for any losses caused by force majeure. Acts of God, changes in laws, regulations, or government directives, and reasons unique to the characteristics of the Services, such as failures of domestic and international basic telecommunication operators, technical defects of computers or the Internet, limitations of Internet coverage, computer viruses, hacker attacks, and other factors, are all examples of force majeure under the Agreement. (8) Unless the Center and Chinese Plus expressly agree in writing, the Center and Chinese Plus do not warrant the accuracy, completeness, or reliability of any content information obtained by the User from Chinese Plus in any manner (including, but not limited to, containing, obtaining through, connecting to, or downloading), including, but not limited to, audio content, advertising content, other User information, merchant information, and User comments. (9) Chinese Plus may provide links to third-party international Internet websites or resources. Unless otherwise stated, the Center and Chinese Plus have no control over the Services of third-party websites. Therefore, the Center and Chinese Plus are not liable for any loss or damage arising from downloading, disseminating, using, or relying on such websites or resources.(10) If a non-partner uses the "ChinesePlus" brand without permission, or if a partner engages in commercial activities or other actions beyond the scope of the cooperation using the "ChinesePlus" brand, resulting in losses to any third party, the ChinesePlus will not bear any responsibility and reserves the right to pursue claims for damages. 12. Liability for Damages The User agrees to protect and defend the interests of Chinese Plus and other Users. If Chinese Plus or any other third party suffer losses due to the User's violation of relevant laws and regulations or any terms of the Agreement, the User agrees to be labile for damages arising therefrom. Chinese Plus is not liable for any direct, indirect, incidental, special, and consequential damage arising from the use of the Services by the User. Such damage may arise from improper use of the Services, purchase of goods or services of the same kind online, transactions conducted online, illegal use of the Services, or changes in the information transmitted by the User. 13. If you are the copyright owner of work within Chinese Plus and/or the right holder who can exercise the right of communication through an information network following the law, and you believe that the content uploaded by a registered User on Chinese Plus infringes your right of communication through information network in respect of such work, you must notify the Center in writing. You shall be responsible for the authenticity and legality of the statement in the written notice. To facilitate the timely processing of your comments by the Company, your notice shall contain at least the following information: (1) your name, contact information, and address; (2) the name of the work to be deleted and the address of Chinese Plus; (3) preliminary supporting information of the infringement. We advise that the following information may constitute preliminary supporting information: a. proof of ownership of the copyright in the suspected infringing works or the right of communication through an information network that may be exclusively exercised following the law; and b. proof of the infringement fact of the suspected infringing works. (4) Your signature. Please send such notices and information to the following address: 18/F, Block B, Desheng International Center, 83 Deshengmenwai Street, Xicheng District, Beijing 100088. Upon receiving notices meeting the above requirements, we will take corresponding measures, including deletion. If any notice does not meet the above conditions, we will ask you to provide the corresponding information. We will not take appropriate measures, including deletion until you have supplemented the corresponding information. The User who uploads works on Chinese Plus shall be deemed to have agreed to the corresponding measures adopted by Chinese Plus regarding the circumstances in the preceding paragraph. Chinese Plus does not bear any liability for breach of contract or other legal liability. Upon receipt of the above notice, Chinese Plus will notify the User who uploads such works. 14. Change and Modification of the Terms of the Agreement Chinese Plus reserves the right to modify the terms of the Agreement at any time. In case of any change in terms of the Agreement, Chinese Plus will prompt the modified content on the page, and the User shall check the related terms promptly; when using the special services of Chinese Plus, the User shall accept the rules or instructions relating to the particular services provided by Chinese Plus from time to time, which shall form part of the Agreement. If the User does not agree to the modification of the terms of the Agreement, they may voluntarily cancel the Services they have obtained; if the User continuously uses the Services, they will be deemed to have accepted the modification of the terms hereof. Chinese Plus reserves the right to upgrade or change the Agreement and all related references from time to time without notice to the User. 15. Applicable Law The Chinese law shall govern the Agreement's execution, performance, interpretation, and dispute resolution. In case of any conflict between the Agreement and the law of the People's Republic of China, the relevant provisions will be revised following the law. In contrast, other provisions will remain valid and have legal force. Where there is any dispute between both parties over the content or implementation of the Agreement, both parties shall try to resolve it through friendly negotiation; if the negotiation fails, either party may file a lawsuit with the people's court of the place where Chinese Plus is located (Xicheng District, Beijing). 16. Miscellaneous The headings in the Agreement are for convenience only and shall be ignored in the interpretation of the terms relating to the Services hereunder. Chinese Plus reserves the right to modify the Agreement further.
